Minerva Worldwide was a Bellevue, Washington-based network marketing and online media company that emerged in 2011 and prepared for a broader launch in 2012. The company was led by direct-selling industry veterans including John Gustin and Charlie Culver and developed a business model intended to combine health and wellness content, online retail, affiliate marketing, advertising, and network marketing. Its two principal platforms were MinervaPlace.com, a consumer website focused on weight management, fitness, wellness, beauty, and lifestyle content, and Minerva Rewards, which served as the income-opportunity side of the business. Minerva Worldwide reported raising approximately $3.1 million from private investors during its startup period.

MinervaPlace was designed as a health and lifestyle destination featuring articles, videos, recipes, and other content created with writers, health professionals, and media personalities. Television personality Brooke Burke-Charvet was recruited as a celebrity host for the site and appeared in promotional material for the company's Ultra Smart Diet program. Minerva also pursued dietary and wellness products, filing trademarks for the Ultra Smart Diet name and Vantix, a dietary supplement. Both trademark applications were later abandoned.

The Minerva Rewards opportunity used a network-marketing-style compensation structure built around online product sales and referrals. Rather than relying solely on proprietary products, Minerva intended to generate revenue from a combination of membership fees, third-party affiliate products, online retail sales, website traffic, and advertising. Members paid approximately $19.95 annually for a MinervaPlace membership, while affiliates could operate personalized online stores and participate in the compensation program. The company positioned the model as a hybrid between network marketing, affiliate marketing, e-commerce, and online publishing.
